Terms of Service - Curriculus LLC

1. Acceptance of Terms

By using Curriculus LLC's ("Curriculus," "we," "us," "our") curriculum development services, you ("Customer," "you," "your") agree to these Terms of Service ("Terms"). If you're using our services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Services

Curriculus provides curriculum development services that transform educational materials into structured, pedagogically sound curriculum. Our services include:

  • Analyzing your educational materials and objectives
  • Developing customized curriculum with lesson plans, discussions, and assessments
  • Delivering completed curriculum in your preferred format
  • Providing revisions and updates as agreed
3. Service Process
Initial Development
  • You provide course materials and learning objectives
  • We aim to deliver curriculum within 72 business hours (approximately 9 business days), subject to timely responses from you
  • Delivery timeframe is an estimate, not a guarantee
Delivery
  • Curriculum is delivered via email or third-party platforms (Dropbox, Google Drive, etc.) as you prefer
  • Final deliverables are provided in editable formats (Word, PDF, Google Docs, etc.)
4. Payment Terms
Pilot Program
  • First course development is free for accepted pilot participants
  • Subsequent redevelopment subject to standard pricing
Standard Pricing
  • 50% deposit due before development begins
  • Remaining 50% due upon completion or after second revision
  • Payment accepted via Stripe or wire transfer
Refunds
  • Full refunds available within 30 days of delivery
  • Initial deposits may be retained as credit for future services if project is cancelled before completion
5. Intellectual Property
Your Materials
  • You retain ownership of all materials you provide to us
  • You grant us a license to use your materials solely for providing our services
  • With your consent, we may use your materials to improve our service algorithms
Developed Curriculum
  • Upon final payment, you own all rights to the curriculum we create for you
  • We retain the right to create anonymized case studies and examples from developed curricula
  • We will not use your name or institution name in marketing without permission
Our Intellectual Property
  • Our service methodology, processes, and underlying systems remain our property
  • You may not reverse engineer, copy, or distribute our proprietary methods
6. Acceptable Use

You agree not to submit content that:

  • Promotes illegal activities
  • Infringes on intellectual property rights
  • Contains hate speech, harassment, or discriminatory content
  • Involves minors in inappropriate contexts
  • Contains malicious code or content designed to harm systems
  • Violates academic integrity policies
  • Could be used for dangerous or hazardous purposes
7. Confidentiality

Both parties agree to maintain the confidentiality of:

  • Proprietary information shared during the service process
  • Course materials and curriculum content
  • Business methods and processes

This obligation survives termination of our service relationship.

8. Disclaimers and Limitations
No Warranties
  • Services are provided "as is" without warranties of any kind
  • We do not guarantee specific educational outcomes
  • We do not warrant that services will be error-free or uninterrupted
Limitation of Liability
  • Our liability is limited to the amount you paid for the specific service
  • We are not liable for indirect, incidental, or consequential damages
  • We are not responsible for third-party actions or platforms
Educational Disclaimer
  • Curriculus provides curriculum development support but is not an accredited educational institution
  • Final responsibility for curriculum implementation and compliance with institutional requirements remains with you
9. Indemnification

You agree to indemnify and hold harmless Curriculus from any claims, damages, or expenses arising from:

  • Your use of our services or the curriculum we create
  • Your content or materials
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any use of the curriculum for High Risk Activities or dangerous purposes
  • Your failure to include appropriate warnings or obtain necessary approvals for curriculum use
10. Dispute Resolution
Informal Resolution

We prefer to resolve disputes through good faith discussion. Contact us at hello@curriculus.com with any concerns.

Formal Resolution

If informal resolution fails:

  • Disputes will be resolved through binding arbitration in Delaware
  • Arbitration will be conducted under AAA rules
  • Each party bears its own costs
  • Small claims court actions are permitted for qualifying claims
11. Governing Law

These Terms are governed by Delaware law, without regard to conflict of law principles.

12. Termination

Either party may terminate services at any time with written notice. Upon termination:

  • You remain responsible for payment for completed work
  • We will deliver any completed work
  • Confidentiality obligations survive termination
13. Changes to Terms

We may modify these Terms at any time. Continued use of our services after changes constitutes acceptance of modified Terms.

14. Severability

If any provision of these Terms is found invalid, the remaining provisions continue in full force.

15. Entire Agreement

These Terms constitute the entire agreement between you and Curriculus regarding our services and supersede all prior agreements.
